Effective for all users of davesleads.com — United States only

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THIS PLATFORM. These Terms of Service contain a binding arbitration clause and class action waiver in Section 19 that affect your legal rights. By accessing or using the Platform, you agree to resolve disputes through individual arbitration and waive your right to a jury trial or class action. If you do not agree to these Terms, do not use the Platform.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Future 2000 Technologies Inc, a company incorporated in the United States ("Company," "we," "us," or "our"), the owner and sole operator of the Daves Leads platform accessible at davesleads.com and any related subdomains, applications, APIs, and services (collectively, the "Platform"). These Terms govern your access to and use of the Platform. This Platform is intended exclusively for use by residents of the United States of America.

1. Acceptance of Terms

By accessing, browsing, registering for, or otherwise using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Platform on behalf of a business entity, you represent and warrant that you have full legal authority to bind that entity to these Terms, and "you" shall refer to both you individually and the entity.

You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you are 18 years of age or older. If you are under 18, you are not permitted to use the Platform and must immediately discontinue access.

These Terms apply to all visitors, registered users, Service Providers, consumers, and any other persons who access or use the Platform.

2. Geographic Restriction — United States Only

The Platform is operated from the United States and is intended solely for use by persons located within the United States. Future 2000 Technologies Inc makes no representation that the Platform is appropriate, available, or legally permissible for use in any jurisdiction outside the United States. If you access the Platform from outside the United States, you do so entirely at your own risk and are solely responsible for compliance with all applicable local laws and regulations. Access to the Platform from jurisdictions where its content or use is illegal is strictly prohibited.

3. Description of Services

Daves Leads is an online lead generation marketplace that connects individual consumers and businesses seeking home services, security services, and related offerings ("Consumers" or "Users") with vetted service businesses ("Service Providers"). Future 2000 Technologies Inc operates as an independent marketplace facilitator and does not directly provide any of the services listed on the Platform.

  • Consumers may submit requests describing their service needs and receive matches with qualified Service Providers
  • Service Providers may create business profiles and receive notifications of consumer leads matching their service area and category
  • Service Providers may purchase credits on the Platform to unlock the contact information for specific consumer leads
  • Government Subcontractor Bidders may register through the Government Contracting Portal at davesleads.com/gov to access and bid on available government subcontracting opportunities. Government Subcontractor accounts are subject to mandatory KYC (Know Your Customer) verification and a separate subscription fee before bidding privileges are activated. See Section 5A below.
  • Future 2000 Technologies Inc facilitates introductions only and is not a party to any transaction between Consumers and Service Providers, or between Government Subcontractor Bidders and any government agency or prime contractor

4. User Accounts

4.1 Registration

To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to maintain and promptly update your account information to keep it accurate, current, and complete. You may not use a false identity, impersonate another person, or create an account for any person other than yourself without authorization.

4.2 Account Security and Responsibility

You are solely responsible for: (a) maintaining the confidentiality of your account credentials; (b) all activity that occurs under your account; and (c) any unauthorized access to or use of your account. You agree to notify Future 2000 Technologies Inc immediately at support@davesleads.com upon becoming aware of any unauthorized use of your account or any other security breach. Future 2000 Technologies Inc will not be liable for any loss or damage arising from your failure to safeguard your account credentials.

4.3 Account Termination by User

You may close your account at any time by contacting support@davesleads.com. Upon account closure, your right to access the Platform ceases. Unused credits are non-refundable upon voluntary account closure, except as required by law.

5. Service Provider Obligations and Representations

By registering as a Service Provider on the Platform, you make the following representations and warranties to Future 2000 Technologies Inc and to Consumers:

  • All business information you provide, including company name, services, location, employee count, and years in operation, is accurate and truthful
  • You hold and will maintain all required federal, state, and local licenses, permits, certifications, and insurance policies required to perform the services you offer
  • All licensing and insurance status information submitted to the Platform is accurate as of the date of submission and you will promptly update it upon any change
  • You will respond to unlocked leads in a professional, timely, and ethical manner
  • You will not contact any Consumer for purposes other than fulfilling the specific service request associated with the lead you purchased
  • You will comply with all applicable local, state, and federal laws and regulations in the performance of any services
  • You will not misrepresent your qualifications, experience, capabilities, pricing, or any other material information to Consumers

Future 2000 Technologies Inc reserves the right, in its sole discretion, to suspend or terminate any Service Provider account for breach of these obligations without notice and without refund of unused credits.

5A. Government Contracting Portal — Sub-Contractor Bidder Terms

The following terms apply exclusively to users who register as Government Subcontractor Bidders through the Government Contracting Portal. By registering for or accessing the Government Contracting Portal, you agree to these additional terms.

5A.1 Eligibility

To register as a Government Subcontractor Bidder, you must: (a) be a legally formed business entity registered to operate in the United States; (b) be authorized to enter into binding contracts on behalf of your company; (c) provide accurate and complete business registration information; and (d) complete our mandatory KYC verification process. Individual consumers are not eligible for the Government Contracting Portal.

5A.2 KYC (Know Your Customer) Verification Requirement

Before you may submit bids on any government contract listed on the Platform, your account must successfully complete our KYC identity and business verification process. KYC verification requires you to submit:

  • A valid government-issued photo ID (driver's license, U.S. passport, state ID, or military ID) for the authorized representative of the business
  • The authorized representative's full legal name, title, date of birth, and last four (4) digits of their Social Security Number, for identity verification purposes only
  • Business entity information including legal business name, DBA name, entity type, Federal EIN, DUNS/SAM UEI number, CAGE code, date and state of formation, and business address
  • Up to three (3) business references, including contact information, relationship type, project description, and contract value

You represent and warrant that all KYC information you submit is accurate, truthful, and complete. Submission of false, forged, or materially misleading KYC information constitutes a material breach of these Terms and may result in: (a) immediate permanent suspension of your account; (b) forfeiture of any subscription fees paid; (c) reporting to applicable law enforcement authorities; and/or (d) civil legal action. Future 2000 Technologies Inc reserves the right to reject any KYC submission in its sole discretion without liability to you.

5A.3 Government Subcontractor Subscription Plans

Active bidding privileges on the Government Contracting Portal require a paid subscription. The following subscription plans are currently available:

  • Monthly Plan: $499.00 USD per month, billed on a recurring monthly basis
  • Annual Plan: $4,999.00 USD per year, billed annually (approximately $416/month)

All subscription payments are processed by PayPal. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. Future 2000 Technologies Inc reserves the right to change subscription pricing upon 30 days' prior notice to active subscribers. Price changes take effect at the start of your next billing cycle.

No refunds: Government Subcontractor subscription fees are non-refundable once the subscription period has commenced and access to the Government Contracting Portal has been granted. If you cancel your subscription, you will retain access through the end of your paid billing period, and no partial refunds will be issued. If your account is suspended or terminated by Future 2000 Technologies Inc for violation of these Terms, no refund will be issued.

5A.4 Bid Submission and Binding Obligations

By submitting a bid on any government contract opportunity listed on the Platform:

  • You represent and warrant that your bid is a genuine, good-faith offer submitted on behalf of a legally qualified and eligible business entity
  • You acknowledge that bids are binding offers and that, if selected, your company is obligated to enter into a contract and perform on the stated terms
  • You confirm that your company possesses or will timely obtain all required licenses, certifications, bonding, insurance, and regulatory approvals necessary to perform the contract
  • You agree that all bid information you submit is accurate and not misleading
  • You acknowledge that Future 2000 Technologies Inc has no control over the bid evaluation process, contract award decisions, or the conduct of any government agency or prime contractor listing opportunities on the Platform

5A.5 No Guarantee of Contract Award

Future 2000 Technologies Inc does not guarantee, represent, or warrant that: (a) any bid you submit will be accepted or awarded; (b) any contract opportunity listed on the Platform is verified, active, or accurately described; or (c) successful completion of KYC or payment of a subscription will result in any contract award. The Government Contracting Portal provides access to bidding opportunities only. Contract award decisions are made solely at the discretion of the relevant government agency or prime contractor, without involvement from Future 2000 Technologies Inc.

5A.6 Platform Role — Marketplace Facilitator Only

Future 2000 Technologies Inc is a marketplace facilitator only. We are not a party to, and have no responsibility for, any government contract, subcontract, teaming agreement, or other arrangement between a Government Subcontractor Bidder and any other party. Future 2000 Technologies Inc does not endorse, verify, or vouch for any contract opportunity listed on the Platform, and is not responsible for the accuracy, legality, or enforceability of any contract terms.

5A.7 Compliance Obligations

Government Subcontractor Bidders are solely responsible for ensuring full compliance with all applicable federal, state, and local laws, regulations, and requirements governing government contracting, including but not limited to: Federal Acquisition Regulations (FAR), System for Award Management (SAM.gov) registration requirements, small business certification requirements, applicable labor laws, export control regulations, and any other requirements applicable to the specific contract opportunity.

6. Credits, Payments, and Refund Policy

6.1 Credit Purchases

Service Providers may purchase credits through the Platform to unlock lead contact information. All purchases are processed through our third-party payment processor, PayPal. Prices are set by Future 2000 Technologies Inc and are clearly displayed at the time of purchase. All amounts are in U.S. Dollars (USD). Future 2000 Technologies Inc reserves the right to change credit prices at any time, with changes taking effect upon posting to the Platform.

6.2 No Refund Policy

ALL CREDIT PURCHASES ARE FINAL AND NON-REFUNDABLE, except as required by applicable law. Credits are consumed upon unlocking a lead and cannot be reversed. If you believe a lead contained materially false or fraudulent information submitted by a Consumer, you may submit a dispute request to support@davesleads.com within 7 days of unlocking the lead. Future 2000 Technologies Inc will review such requests in its sole discretion and may, but is not obligated to, issue a credit adjustment.

6.3 No Guarantee of Results

Unlocking a lead does not guarantee that you will win the Consumer's business, that the Consumer will respond, or that any transaction will occur. Future 2000 Technologies Inc does not warrant the accuracy, completeness, timeliness, or quality of any lead information. The same lead may be unlocked by multiple Service Providers.

6.4 Taxes

You are solely responsible for determining and paying any applicable federal, state, or local taxes arising from your purchases or transactions on the Platform.

7. Consumer Submissions

By submitting a lead request, you represent and warrant that all information provided is truthful, accurate, and not submitted for fraudulent, spam, or improper purposes. You acknowledge that your contact information will be shared with Service Providers who unlock your request. You consent to being contacted by Service Providers via phone, email, or text message regarding your submitted request. You may opt out of such communications by notifying the individual Service Provider directly.

8. Prohibited Conduct

You agree that you will not, under any circumstances:

  • Use the Platform for any unlawful purpose or in violation of any applicable federal, state, or local laws or regulations
  • Submit false, misleading, fabricated, duplicate, or spam lead requests
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Harass, threaten, intimidate, or stalk any other user, Consumer, or Service Provider
  • Scrape, harvest, crawl, or otherwise collect data from the Platform without our express written permission
  • Use automated systems, bots, scripts, or other software to access the Platform
  • Attempt to gain unauthorized access to any other user's account, our servers, databases, or any connected system
  • Introduce any virus, malware, ransomware, trojan, or other harmful code to the Platform
  • Interfere with, disrupt, or negatively affect the operation, performance, or security of the Platform
  • Circumvent any security measure, rate limit, authentication control, or access restriction on the Platform
  • Resell, redistribute, sublicense, or otherwise commercially exploit any lead data obtained through the Platform
  • Use the Platform to collect information about other users for any unauthorized purpose
  • Post, transmit, or share any content that is defamatory, obscene, discriminatory, or violates any third party's intellectual property or privacy rights
  • Use the Platform in connection with any illegal scheme, pyramid scheme, multi-level marketing, or fraudulent activity

Future 2000 Technologies Inc reserves the right to investigate suspected violations and to take any action it deems appropriate, including immediate account suspension or termination, removal of content, reporting to law enforcement, and pursuing legal remedies.

9. Intellectual Property Rights

The Platform and all of its content, features, and functionality — including but not limited to all text, graphics, logos, icons, images, audio clips, software code, data compilations, and the selection and arrangement thereof — are the exclusive property of Future 2000 Technologies Inc or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Future 2000 Technologies Inc grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for your personal or internal business purposes in accordance with these Terms. This license does not include any rights to: reproduce, modify, distribute, display, perform, publish, license, create derivative works from, transfer, or sell any content from the Platform; reverse engineer or attempt to extract the source code of the Platform; or use the Platform in any manner that could damage, disable, or impair it.

"Daves Leads," "Future 2000 Technologies Inc," and all related logos, product names, and service names are trademarks of Future 2000 Technologies Inc. You may not use any of our trademarks without our prior written consent.

10. User-Generated Content

By submitting any content to the Platform (including reviews, business descriptions, photos, or messages), you grant Future 2000 Technologies Inc a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, display, and create derivative works of such content in connection with operating and promoting the Platform. You represent and warrant that you own or have all necessary rights to the content you submit and that it does not infringe any third party's rights. Future 2000 Technologies Inc reserves the right to remove any user-generated content at its sole discretion.

11. DMCA — Digital Millennium Copyright Act

Future 2000 Technologies Inc respects intellectual property rights and expects users to do the same. If you believe that content on the Platform infringes your copyright, please send a written notice to support@davesleads.com containing: (a) a description of the copyrighted work you believe has been infringed; (b) identification of the allegedly infringing content and its location on the Platform; (c) your contact information; (d) a statement that you have a good faith belief the use is unauthorized; (e) a statement, under penalty of perjury, that the information is accurate and you are the rights owner or authorized agent; and (f) your physical or electronic signature. We will respond to valid DMCA notices promptly.

12. Third-Party Services and Links

The Platform may contain links to or integrations with third-party websites, applications, and services (including PayPal). These third-party services are not owned or controlled by Future 2000 Technologies Inc, and we are not responsible for their content, terms of service, privacy policies, or practices. Links to third-party services are provided for convenience only and do not constitute an endorsement by Future 2000 Technologies Inc. You access third-party services at your own risk and subject to their applicable terms.

13. No Endorsement of Service Providers

Future 2000 Technologies Inc does not endorse, recommend, guarantee, or warrant any Service Provider listed on the Platform. We do not independently verify the licensing, insurance, qualifications, work quality, reliability, or reputation of any Service Provider. Any verification badges or indicators on the Platform reflect only self-reported information submitted by Service Providers. You are solely responsible for conducting your own due diligence before hiring any Service Provider. Future 2000 Technologies Inc is not responsible for the acts, omissions, or work product of any Service Provider.

14. DISCLAIMER OF WARRANTIES

THE PLATFORM AND ALL CONTENT, SERVICES, AND FEATURES ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FUTURE 2000 TECHNOLOGIES INC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: (A) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT; (B) THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (C) THAT DEFECTS IN THE PLATFORM WILL BE CORRECTED; (D) THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY CONTENT, LEAD INFORMATION, OR USER DATA ON THE PLATFORM; OR (E) THAT THE PLATFORM WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY FUTURE 2000 TECHNOLOGIES INC OR ITS REPRESENTATIVES CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

15. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FUTURE 2000 TECHNOLOGIES INC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS; LOSS OF USE; COST OF SUBSTITUTE SERVICES; PERSONAL INJURY; OR DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR USE OF YOUR ACCOUNT OR DATA — EVEN IF FUTURE 2000 TECHNOLOGIES INC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE).

AGGREGATE LIABILITY CAP: In jurisdictions that do not allow the exclusion or limitation of consequential damages, our total aggregate liability to you for all claims arising from or related to your use of the Platform shall not exceed the greater of: (a) the total amount you paid to Future 2000 Technologies Inc in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100.00). This limitation applies regardless of the number of claims or the theory of liability.

Some states do not allow the exclusion or limitation of incidental or consequential damages, so some of the above exclusions may not apply to you. In such states, our liability is limited to the fullest extent permitted by applicable law.

16. Indemnification

You agree to defend, indemnify, and hold harmless Future 2000 Technologies Inc and its affiliates, officers, directors, employees, agents, contractors, and licensors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and attorneys' fees arising out of or relating to: (a) your use of or access to the Platform; (b) your violation of these Terms; (c) your violation of any applicable law, rule, or regulation; (d) your violation of any third party's rights, including intellectual property, privacy, or publicity rights; (e) any content you submit, post, or transmit through the Platform; or (f) any dispute between you and another user or Service Provider or Consumer. Future 2000 Technologies Inc reserves the right, at your expense, to assume exclusive defense and control of any matter subject to your indemnification, and you agree to cooperate with us in the defense of such claims.

17. Account Suspension and Termination

Future 2000 Technologies Inc reserves the right, in its sole and absolute discretion, to: (a) suspend or terminate your account, with or without cause and with or without prior notice; (b) restrict your access to all or any part of the Platform; (c) remove any content you have submitted; and (d) take any other action we deem necessary to protect the Platform, our users, or the public. Upon termination for cause, any unused credits are forfeited and no refund will be issued. Upon any termination, provisions of these Terms that by their nature should survive termination — including Sections 9, 10, 14, 15, 16, 18, 19, 20, and 21 — shall survive.

18. Electronic Communications Consent

By creating an account on the Platform, you consent to receive electronic communications from Future 2000 Technologies Inc, including via email, SMS, and in-Platform notifications. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. You may opt out of marketing communications at any time, but you acknowledge that transactional and operational communications are necessary for use of the Platform and cannot be opted out of while your account remains active.

19. Binding Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT LIMITS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND YOUR RIGHT TO A JURY TRIAL.

19.1 Mandatory Binding Arbitration

Except for disputes that qualify for small claims court, and except as described in Section 19.5, you and Future 2000 Technologies Inc agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Platform through final and binding individual arbitration rather than through a court of law. This includes disputes about the existence, validity, interpretation, breach, or termination of these Terms, and any other dispute between you and Future 2000 Technologies Inc, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory.

19.2 Arbitration Rules and Process

Arbitration shall be conducted by a single neutral arbitrator through the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (available at adr.org) or, if the AAA is unavailable, through a mutually agreed-upon alternative arbitration provider. The arbitration shall be conducted in English. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction. The arbitrator shall have authority to grant any remedy that would be available in a court of law.

19.3 CLASS ACTION WAIVER

YOU AND FUTURE 2000 TECHNOLOGIES INC EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS-WIDE ARBITRATION, CONSOLIDATED ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER REPRESENTATIVE PROCEEDING. All disputes must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person's claims.

19.4 Arbitration Fees

Filing fees for arbitration shall be allocated per the AAA Consumer Arbitration Rules. Future 2000 Technologies Inc will pay arbitration fees for claims under $10,000 unless the arbitrator finds your claim frivolous. Each party bears its own attorney's fees unless the arbitrator awards fees under applicable law.

19.5 Exceptions to Arbitration

Notwithstanding the above, either party may: (a) bring an individual action in small claims court for disputes within that court's jurisdiction; (b) seek emergency injunctive or equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property or confidential information; or (c) file a complaint with applicable government regulatory agencies. Future 2000 Technologies Inc may seek emergency injunctive relief to prevent unauthorized use, disclosure, or distribution of its proprietary content or data.

19.6 Opt-Out Right

You have the right to opt out of this arbitration agreement by notifying us in writing within 30 days of the date you first agree to these Terms. To opt out, send a written notice to support@davesleads.com with the subject line "Arbitration Opt-Out" and include your name, email address, and a clear statement that you are opting out. If you opt out, you retain the right to bring claims in court subject to Section 20.

20. Governing Law and Jurisdiction

These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the United States of America and applicable state law, without regard to conflict of law principles. For any disputes not subject to arbitration under Section 19 (or if the arbitration agreement is found unenforceable), you and Future 2000 Technologies Inc agree to submit to the exclusive personal jurisdiction of the federal and state courts located in the United States, and you waive any objection to such jurisdiction or venue. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

21. General Provisions

21.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies or guidelines posted on the Platform, constitute the entire agreement between you and Future 2000 Technologies Inc with respect to the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the Platform.

21.2 Severability

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

21.3 No Waiver
